Club Rules

SHREWSBURY GOLF CLUB RULES

1.         That the Club be called “Shrewsbury Golf Club” and that the Rules in force be those of the Royal and Ancient Golf Club of St. Andrews together with any special rules published by the English Golf Union and the Committee of the Club.

 

ELECTION OF MEMBERS

 

2.    Ladies and Gentlemen wishing to become Members of the Club must be proposed and seconded by Full Members of at least two years standing and their names, addresses and occupation, together with the names of their proposers and seconders,shall be posted in the Club House for eight consecutive days before election.

 

3.         The election of Members of the Club shall be by the decision of the Committee at its monthly meeting provided always that no person shall be elected who shall not have obtained the support of a majority of the Committee present.

 

4.         The Membership, unless otherwise decided at a General Meeting, shall consist of Full, Five Day, Youth, Junior and Social Members and the additional categories listed below.  The category of Youth Membership shall be further divided into two categories of 18 (non juniors) to 21 years and 22-24 years.   The maximum number of members in each category shall be as follows:

Members who cannot play due to serious illness, may have their golf membership temporarily suspended until they are fit enough to play and an additional member may be elected in their place.   When such a member is fit enough to return to play the above numbers may be exceeded temporarily.

The Committee shall have discretion to appoint Honorary Life Membership, subject to members’ approval in General Meeting (see rule 24).   Honorary Life Members will not be included in the above numbers and, if already a member, an additional member may be elected in their place.

The Committee shall also have discretion to appoint Overseas and Staff Associate members.  Overseas and Staff Associate members will not be included in the above numbers.

Honorary Social Members and Spouses of full and five day members who are social members (see rule 5) shall not be included in the above numbers.

 

5.         Social Members may be elected at the discretion of the Committee. Spouses of Full and Five Day Members become Social Members without fee.  Members who resign after a mimimum of twenty five years Full Membership or through age or ill health in favour of Social Membership at the discretion of the Committee shall qualify for Honorary Social Membership.

 

6.         There are two forms of Associate Membership:

(1)            Employees of the Club may be admitted to “Staff Associate Membership” at the discretion of and subject to conditions laid down by the General Committee of the Club.   Such members are allowed the full facilities of the club but have no voting rights at any general meeting.

(2)            Associate members – Associate members are members of other qualifying clubs as defined in the Licensing Act 2003 Section 67.  This rule grants associate membership whilst taking part in any qualifying club activity.  This applies to all golfing activities, associated social persuits and the management and administration thereof.

 

7.         A Junior Member is a person who is under the age of 18 years on 1st January.Junior Members may use the course at any time on Monday to Friday inclusive. On Saturdays and Sundays they may be permitted to play at the discretion of the Committee.  (The committee has approved juniors to play on weekends).   Junior members, junior associate members, and guests of members who are under the age of 16 are not allowed in the Club,s licenced premises, at any time,unless they are in the company of an adult aged 18 or above.   Junior members, junior associate members and junior guests of members under the age of 18 years are not allowed to consume or purchase alcohol or have alcohol purchased for their consumption.

 

JOINING FEE AND SUBSCRIPTION

 

8.         Every Member shall pay such subscription and joining fee as from time to time be settled by Members eligible to vote in General Meeting. Members subscriptions are due and payable in advance in full on the 1st January in any year. Youth Members in the age group 18 (non junior) -21 shall pay one third and in the age group 22-24 two thirds of the adult subscription.

 

New members joining in the youth and young adult age group and junior members progressing to youth membership will not be required to pay any joining fee.

 

For the purposes of this rule a full year shall be the Club’s Membership Year,  i.e. 1st January to 31st December.

 

Youth Members will be entitled to all the benefits of Full Membership other than the right to vote at General Meetings. Should they wish to exercise this right, Youth Members may do so by paying the full playing subscription.

 

9.         Any Member who has not paid his/her subscription before midnight on 14th January shall cease to be a member of the Club.

 

10.               Any former playing member returning to the club as a playing member will not be required to pay any additional joining fee.  Former junior members returning as youth or full members may at the discretion of the committee rejoin the club without payment of any joining fee.

 

11.        All Members elected after 1st January shall pay such proportion of the Annual Subscription as the Committee shall deem equitable.

 

12         Members who are resident abroad may retain Social Membership on payment of such subscription as may be decided by the Members in General Meeting.  If they wish to make use of the course they may pay the amount laid down as for a Visitor playing with a Member.          

 

13.        Only Full Members and honorary life members (see rule 24) of the Club shall be entitled to vote at any General Meeting.

 

14.        Visitors who are members of any recognised golf, or other qualifying club, on production of a certificate of Membership of their Club, and Visitors who are introduced by a Full Member/Five Day Member, may make use of the  course on such payment and conditions as may from time to time be settled by the Committee. They may use the club house either as an associate member (see rule 6 (2), or as a guest of a club member.

 

15.        No Visitor shall enjoy the benefit of a reduced green fee on more than 10 occasions within a 12 month period.

 

16.        Members introducing Guests to the Club House, who are not associate members (see rule 6 (2) must enter their names in the Visitors Book kept for that purpose in the Club House and sign the entry legibly.

 

17.        Members introducing Visitors are responsible for all payments due from them being made to the Professional in the first instance or alternatively the Steward or the Secretary.

 

18.        The Rules and Regulations with reference to Joining Fees and Subscriptions and Fees payable by Visitors shall be posted in the Club House.

 

MANAGEMENT

 

19a.      The Management of the Club shall be in the hands of the  Committee comprising the seven officers and eight other full members.  All posts on the Committee may be filled by ladies or gentlemen.  The officers (with the exception of the Chairman) and four other full members of the committee, according to priority of election, shall retire automatically on 31 December each year but are eligible for re-election at the AGM for further appointment from 1 January following.  The officers are the Captain, Vice-Captain, immediate Past Captain, Honorary Treasurer, Chairman, Section Captain and Section Vice-Captain.

 

19b.      The Chairman shall be elected at an AGM for a three year term commencing from 1st January following and shall retire automatically on the 31st December three years thereafter.   The Chairman is eligible for re-election for a further term provided that no Chairman may serve more than two three year terms.

 

19c.      The Club shall further annually elect at the AGM an Honorary President (appointed from the 1st January following) from the membership.   The Honorary President may attend Committee meetings at the invitation of the Committee but will have no voting powers at such meetings.

 

20.        Should a Member of the Committee retire during the year, the Committee shall have power to fill the vacancy until the next General Meeting.

 

21.        Should a Member of the Committee be absent from three consecutive Committee Meetings without adequate reason he/she shall cease to be a Member of the Committee and the Committee shall have power to fill the vacancy until the next General Meeting.

 

22.        Subject only to the authority of a General Meeting of the Club, the Committee shall have power to conclude all necessary arrangement for the general management of the Club, Club Premises and Course and the employment of the necessary staff; to make any regulations for the use or employment of the same by Members or Visitors; to frame special rules of play to suit the Course; to arrange for Competitions and Meetings and to decide all questions not expressly provided for in these Rules.

 

23a.      From time to time from within the membership of the Club the Committee shall have the power to appoint a House Committee, Greens Committee, Finance Committee, Competitions Committee and other Sub-Committees not necessarily composed of members of the  Committee.

 

23b.      The Committee shall also appoint a Management Sub-Committee comprising the Officers, Greens, House and Competitions Chairmen and any Secretary / Manager appointed by the Committee, which shall be charged with the day-to-day management of the Club’s affairs and shall be chaired by the Chairman. This Sub-Committee shall normally meet monthly and at such other times as are deemed necessary. At such meetings five persons shall represent a quorum as long as they include an officer of the Club. In the event of a tie the Chairman shall have the casting vote. Any Secretary / Manager shall report directly to the Chairman and in his absence, the Captain.

 

24.        Honorary Life Members (see rule 4) may from time to time be nominated by the Committee on such grounds and on such conditions as they may determine, and shall be elected at a General Meeting.  Honorary Life Members may vote at Meetings of the Club.

 

25a.      Investments, properties and securities of the Club may, under the authority of a Resolution of the Committee be transferred to trustees or (in the case of a trust corporation) a sole trustee. Such trustees or trustee (hereinafter referred to as “the Trustees”) shall be appointed by a Resolution of the Committee and shall be concerned only with such investment properties and securities as are actually transferred to them and shall not be required to accept the transfer of any property or comply with any direction which would or might involve the Trustees in any personal liability.

 

25b.      The investments, properties and securities vested in the Trustees (or their nominee) shall be held by the Trustees upon trust (subject to any authority or consent required by law and subject to any mortgage or charge executed in pursuance of paragraph (d) of this Rule) to deal with the capital and income thereof in such manner as the Committee shall from time to time by resolution direct.

 

25c.      The Committee shall have power to borrow money for any purpose conducive to the objects of the Club (as to which the Trustees may accept a certificate signed by the Chairman of the Committee or Secretary for the time being of the Club) and (not withstanding that they are Trustees) the Trustees (if a Bank) may:

 

            i)    Lend money to the Committee on behalf of the Club if requested so to do by them in pursuance of the foregoing power to borrow and

 

            ii)   Execute a mortgage or charge of any property of the Club of which they are Trustees in favour of themselves in such form and subject to such terms as they shall approve and containing (in the case of a Bank) all such powers and provisions as are customarily included in a mortgage to a Bank lending money to a customer.

 

25d.      A copy of any Resolution of the Committee certified by the Chairman of the Meeting at which the Resolution was passed or by the Secretary for the time being of the Club shall be sufficient authority for the Trustees to act thereunder and the Trustees shall be free from all responsibility for acting in accordance with any such resolution. 

 

25e.      The Trustees shall be entitled to receive such remuneration for acting as Trustees as may from time to time be agreed between the Committee and the Trustees and (if a Bank) may (without accounting for any resultant profit) act as banker to the Club and may retain the customary share of brokerage on the sale or purchase of or other dealing with investments.

 

25f.       All moneys requiring to be invested in or upon such stocks, shares, investments or securities as the Trustees shall in their absolute discretion think fit to the intent that the Trustees shall have the same full and unrestricted powers of investment and of varying investments as they would have if absolutely and beneficially entitled to the said moneys.

 

25g.      Trustees appointed pursuant to Rule 25a will be indemnified against risk and expense out of the property of the Club provided that the Trustees are acting in accordance with the remainder of rule 25.

 

25hi      The Trustees shall hold office until death or resignation or until removal from office by the Committee.

 

25hii     Where by reason of death, resignation or removal it is necessary for a new Trustee or Trustees to be appointed the committee must nominate the person or persons to be appointed the new Trustee or Trustees.

 

25hiii     To give effect to the nomination the President of the Club is now nominated as the person to appoint new Trustees of the Club within the meaning of the Trustee Act 1925 Section 36 (as amended) and he must by deed appoint the person or persons nominated by the Committee.

 

26.        The Committee of the Club shall have power to raise money by way of Mortgage, loan or otherwise on the security of any real or personal property belonging to the club on such terms as to repayment, interest or otherwise as the Committee shall think fit but with the limitation that such raising of money, including overdraft and sundry creditors, should not exceed Ten per centum (10%) of the capital of the Club as represented in the previous year’s audited or certified accounts and any sums required in excess of that figure must first be sanctioned by the Members in General Meeting.

 

27                 The Committee shall normally meet a minimum of three times per annum and the quorum for the Committee shall represent a minimum of five persons and in the event of a tie the Chairman shall have the casting vote.

 

28.        The Annual General Meeting shall be held each year on the third Tuesday in October for the election of Officers and Committee, to receive the statement of Accounts and for any other business. Notice of the Annual General Meeting shall be sent to members at least eight days prior to the date of the Annual General Meeting. Nominations for Officers and the filling of vacancies on the Committee and also notice of any other business required to be discussed at the Annual General Meeting must be received at least fourteen days before the date of the Annual General Meeting and must be exhibited on the Notice Board ten days prior to such Meeting.

 

29.        An Extraordinary General Meeting may be called by the Committee or shall be called when required in writing by any twenty-five full Members of the Club. Notice of such Extraordinary General Meeting shall be posted in the Club House for not less than eight consecutive days previously, and eight days’ notice in writing shall be sent to each Full Member. At such Extraordinary General Meetings, only those matters shall be discussed of which due notice shall have been given.

 

30.        The Chairman, Captain, Vice-Captain, Honorary Treasurer, the Section Captain and Section Vice-Captain shall be ex-officio Members of all Committees.

 

31.        The Committee shall have power to suspend or expel from Membership of the Club in its discretion any Member guilty of any improper conduct or conduct considered to be prejudicial to the Club or its management or for any contravention of the Rules of the Club.

 

32.        Rules may only be altered, repealed or made at any General Meeting, and notice in writing of such proposed alteration must be sent to the Secretary not less than twenty-eight days before the date of such Meeting.

 

33.        The Club will ensure that a Club Premises Certificate is obtained under Section 60 of the Licensing Act 2003.   To enable this the Club will ensure compliance with the conditions and additional conditions of Sections 61, 62, 63 and 64 of the said Act.  The Club will also comply with all the other provisions of the Act as they affect qualifying clubs, and the General Committee will ensure such compliance.  

Opening hours of the Clubs premises are exhibited on the Club Notice Board.   The permitted licensing hours are contained in Section 62 of the Licensing Act 1964.   The Licensing Act 2003 allows conversion of the 1964 Act licence and the issue of  a Club Premises Certificate.  

Variations, for seasonal or other reasons, may be made by the General Committee within the limits permitted in the Club Premises Certificate.  Any temporary variations outside the limits within the certificate are restricted to a maximum of 12 per year.

 

34.        The liability of the Members, in the event of the winding up of the Club, will be limited to a payment of £1.

 

35.        Members and Visitors who leave the course to search for golf balls do so at their own risk.

 

36.        Shrewsbury golf club is a non-profit making organisation.   All surpluses will be used to maintain or improve the club’s facilities.  No profit or surplus will be distributed other than to another non-profit making body or to the members on winding up or dissolution of the club.
